Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Westbridge Limited website at westbridgelimited.xyz and the marketing and advertising services we provide. By creating an account or placing an order, you agree to these Terms.

1. Definitions

  • "Westbridge", "we", "us", "our" - Westbridge Limited, a company registered in England and Wales under Company No. 17216146, registered office 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ.
  • "Client", "you" - the individual or business engaging our services.
  • "Services" - the marketing and advertising services described at westbridgelimited.xyz/#services, including paid-ads management, content marketing, SEO, brand strategy, audits, full-scale brand development, integrated campaigns, marketing-as-a-service, digital PR, customer-acquisition work, and analytics infrastructure.
  • "Deliverables" - any reports, copy, designs, code, brand assets, dashboards or other materials we produce in the course of providing the Services.
  • "Order" - a purchase request submitted through the checkout, accepted by us in writing or by starting work.

2. Eligibility

Our Services are intended for businesses and adults aged 18 or older. By placing an Order you confirm that you have the legal authority to bind the entity on whose behalf you are acting.

3. Account registration

Some features (checkout, order history) require an account. You agree to provide accurate information, keep your credentials confidential, and notify us immediately at support@westbridgelimited.xyz if you suspect unauthorised access. You are responsible for all activity under your account.

4. Services and engagements

Each engagement is defined by the service you order and any written scope of work we send you in confirmation. Specifics (e.g. exact deliverable counts, channels, KPIs) are set out per-engagement.

4.1 Retainers

Monthly retainers (paid ads, SEO, content, marketing-as-a-service) start with an initial 90-day engagement. After that, the retainer continues on a rolling 3-month basis. Either party may terminate the rolling commitment with 30 days' written notice before the end of the current 3-month cycle.

4.2 One-time projects

Audits, brand strategy, funnel builds, brand development programs and integrated campaigns are scoped, billed and delivered once. Timelines and milestones are agreed in writing before work starts.

5. Fees and payment

Prices are listed in EUR on the website and are exclusive of any taxes unless stated. We accept payment by:

  • Bank transfer - we send a proforma invoice with our requisites by email after you submit the request. Work starts once funds clear.
  • Cryptocurrency - processed via NOWPayments. Many coins are accepted; payments auto-convert to USDT TRC-20 on our side. Work starts once the on-chain confirmation is received.

Refunds are governed by our Refund Policy.

6. Cancellation

You can cancel a one-time project before work has started for a full refund. Cancellation during work or after delivery is subject to the Refund Policy. Retainer cancellation is governed by the notice period in section 4.1.

7. Intellectual property

7.1 Deliverables

Once an invoice is paid in full, you own all rights to the Deliverables created specifically for you (copy, designs, code, brand assets), including the right to use, modify and distribute them. We retain the right to use anonymised process learnings for our own portfolio and training, and to mention you as a client unless you ask us in writing not to.

7.2 Pre-existing materials

Templates, frameworks, tools and methodologies that pre-date your engagement remain ours. We grant you a non-exclusive licence to use them as part of the Deliverables.

7.3 Third-party assets

Stock photography, fonts and any third-party content embedded in Deliverables are licensed under the relevant third-party terms. We will let you know what is used and surface those terms.

7.4 Our brand

The Westbridge name, logo and website content are our property. You may not use them without our written permission.

8. Confidentiality

Each party agrees to keep the other's non-public information confidential, use it only to perform under these Terms, and protect it with reasonable care. Confidentiality obligations survive termination for three years.

9. Warranties and disclaimer

We will perform the Services with reasonable skill and care and in accordance with industry standards. We do not guarantee any specific business outcome (no guaranteed leads, ROAS, rankings, conversion rates or revenue). Marketing results depend on many factors outside our control.

The website is provided "as is" and "as available". We disclaim all implied warranties to the maximum extent permitted by law.

10. Limitation of liability

Nothing in these Terms limits liability that cannot be limited under English law (including death, personal injury caused by negligence, fraud or fraudulent misrepresentation).

Subject to the above, our total aggregate liability for any claim arising under or in connection with these Terms is capped at the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, incidental or special damages, loss of profit, loss of data, loss of opportunity or reputational damage.

11. Indemnity

You agree to indemnify us against any third-party claim arising out of (a) content or materials you provide, (b) your use of the Services in breach of these Terms, or (c) your infringement of any third-party rights.

12. Force majeure

Neither party is liable for delays or failures caused by events beyond reasonable control, including acts of God, war, civil unrest, cyber-attacks, infrastructure outages or pandemic-related restrictions.

13. Termination for cause

Either party may terminate immediately if the other materially breaches these Terms and fails to cure within 14 days of written notice. We may suspend or terminate your account at any time for fraud, illegal use, or non-payment.

14. Anti-money-laundering and prohibited use

You agree not to use our Services to facilitate money laundering, the financing of terrorism, sanctions evasion, fraud or any other unlawful activity. We may carry out reasonable Know-Your-Business checks and decline or terminate engagements where we have reasonable suspicion.

15. Governing law and disputes

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, without prejudice to your statutory rights as a consumer.

16. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the latest version. Material changes will be notified by email to account holders. Continued use of the Services after notice constitutes acceptance.
